Terms of Use

Please read these Terms of Use ("Terms") carefully before using the Distribo platform operated by TrinityTech ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree, do not use the Service.

1. Acceptance of Terms

By creating an account, accessing the Distribo web admin panel, or using our mobile applications, you confirm that:

  • You are at least 18 years of age
  • You have the legal authority to enter into this agreement on behalf of yourself or your organization
  • You have read and agree to these Terms and our Privacy Policy
  • You will comply with all applicable laws and regulations

2. Description of Service

Distribo is a cloud-based distribution and logistics management platform that provides:

  • Web-based admin dashboard for managing products, orders, deliveries, and teams
  • Android mobile application for field representatives and drivers
  • Real-time GPS tracking and route management
  • Inventory management and reporting tools
  • Voice-assisted report and invoice generation
  • Analytics and business intelligence dashboards

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration and Security

To access Distribo, you must register for an account. You agree to:

  • Provide accurate, complete, and up-to-date information during registration
  • Maintain the confidentiality of your account credentials and not share them with unauthorized parties
  • Notify us immediately at info@distribo.app if you suspect unauthorized access to your account
  • Be responsible for all activities that occur under your account
  • Not create accounts for competitors or for the purpose of benchmarking against us

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Billing

Distribo offers several subscription plans based on the number of visitor (field user) accounts:

  • Starter: Up to 5 visitors
  • Small Business: Up to 15 visitors
  • Medium Business: Up to 40 visitors
  • Large Business: Up to 100 visitors
  • Custom: 100+ visitors (contact sales)

Subscription fees are billed on a monthly or annual basis as selected during registration. All prices are in USD and exclude any applicable taxes.

Billing terms:

  • Subscriptions auto-renew at the end of each billing period unless cancelled
  • Annual subscriptions are non-refundable after the first 14 days
  • Monthly subscriptions may be cancelled at any time; service continues until the end of the paid period
  • We reserve the right to change pricing with 30 days' notice
  • Upgrading a plan takes effect immediately; downgrading takes effect at the next billing cycle

5. Free Trial

New accounts may be eligible for a free trial period as offered at the time of registration. During a free trial:

  • Full access to all platform features is provided
  • No payment information is required unless you choose to upgrade
  • At the end of the trial period, the account will be restricted unless a paid plan is selected
  • We reserve the right to modify or discontinue free trial offers at any time

6. Acceptable Use Policy

You agree to use the Service only for lawful, legitimate business purposes. You must not:

  • Use the Service in any way that violates applicable local, national, or international laws or regulations
  • Transmit any unsolicited, unauthorized, or spam communications
  • Upload or distribute malicious code, viruses, or harmful software
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the platform
  • Use automated scripts or bots to scrape data or overload our systems
  • Impersonate any person or entity or misrepresent your affiliation
  • Resell, sublicense, or redistribute the Service without written authorization
  • Use the Service to track individuals without their knowledge or consent

7. Data Ownership and License

Your data: You retain full ownership of all data, content, and information you input into the Distribo platform ("Your Data"). You grant us a limited, non-exclusive license to store, process, and display Your Data solely for the purpose of providing the Service.

Our platform: All intellectual property rights in the Distribo platform, including its software, design, trademarks, and content, remain the sole property of TrinityTech. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

Data export: You may export Your Data at any time while your account is active. We will provide export functionality in standard formats where technically feasible.

8. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you agree to our Privacy Policy.

If you collect personal data of third parties (e.g., customers, delivery recipients) through the Service, you are responsible for ensuring you have the appropriate legal basis to do so and that such collection complies with applicable data protection laws.

9. Service Availability and Uptime

We strive to provide a reliable Service with high availability. However:

  • We do not guarantee uninterrupted or error-free access to the Service
  • We may perform scheduled maintenance with advance notice when possible
  • Service availability is dependent on third-party infrastructure (Google Firebase) and internet connectivity
  • We are not liable for losses resulting from Service downtime or technical failures beyond our reasonable control

10. Limitation of Liability

To the maximum extent permitted by applicable law, TrinityTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claims under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Guarantees that the Service will meet your specific requirements
  • Guarantees that GPS tracking data will be 100% accurate at all times
  • Warranties regarding third-party services integrated with the platform

12. Indemnification

You agree to indemnify and hold harmless TrinityTech, its directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your violation of these Terms
  • Your misuse of the Service
  • Your violation of any applicable law or third-party rights
  • Any content or data you submit through the Service

13. Termination

By you: You may cancel your subscription and close your account at any time through the admin panel or by contacting info@distribo.app.

By us: We may suspend or terminate your account immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay subscription fees after a grace period
  • Engage in fraudulent or illegal activity

Upon termination, your right to use the Service ceases immediately. You will have 30 days to export Your Data before it is deleted from our systems.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration.

15. Changes to Terms

We may revise these Terms at any time. We will notify you of material changes via email or a prominent notice in the Service at least 14 days before they take effect. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
